1. Acceptance of Terms

By accessing or using the Estate Guide Online website at estateguide.online and related services (the "Platform"), operated by Estatly Pty Ltd (ABN [to be inserted]) ("Estate Guide Online", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration

You may browse the Platform without an account. Certain features (saving properties, saved searches, enquiries) require account registration.
You must provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials.
You must notify us immediately of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Platform

You agree to use the Platform only for lawful purposes. You must not:

Submit false, misleading, or fraudulent listings, enquiries, or information
Scrape, crawl, or systematically access the Platform without our written consent
Use automated tools (bots, scripts) to interact with the Platform except via our authorised APIs
Attempt to gain unauthorised access to any part of the Platform or its systems
Upload viruses, malware, or harmful code
Harass, abuse, or send spam to other users, agents, or agencies
Circumvent security measures, rate limits, or access controls
Use the Platform to violate any applicable Australian law or regulation
Reproduce, redistribute, or commercially exploit Platform content without permission

5. Listing Content and Data Ownership

5.1 Agent and Agency Content

By uploading, submitting, or syncing listing data, images, media, descriptions, and any other content to the Platform ("Listing Content"), you grant Estate Guide Online a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, store, display, reproduce, modify, distribute, and create derivative works from the Listing Content for any purpose related to operating, promoting, and improving the Platform.

All Listing Content uploaded to or ingested by the Platform becomes the property of Estatly Pty Ltd. This includes but is not limited to property descriptions, photographs, floorplans, videos, virtual tours, and associated metadata.

5.2 Representations

By uploading Listing Content, you represent and warrant that you have the right to grant the above licence and that the content does not infringe any third party's intellectual property rights, privacy rights, or other rights.

5.3 Sold and Leased Data

Sold prices, leased results, and historical transaction data published on the Platform may be retained and displayed indefinitely for market research, valuation reference, and public interest purposes.

6. Enquiries and Communications

When you submit an enquiry through the Platform, your contact information (name, email, phone) and message will be shared with the relevant agent or agency. We are not responsible for how agents or agencies handle your information after it has been shared with them.

You agree not to use the enquiry system to send spam, unsolicited marketing, or abusive messages. We reserve the right to block or filter enquiries that we determine to be spam or abusive.

7. Property Information Disclaimer

Property listings, prices, descriptions, images, and other information on the Platform are provided by third parties (agents, agencies, CRM systems). While we take reasonable steps to ensure accuracy, we do not guarantee the completeness, accuracy, reliability, or currency of any listing information.

Estimated property values, median prices, suburb statistics, and market data are provided for general information purposes only and should not be relied upon as professional valuations or financial advice. You should always conduct your own due diligence and seek professional advice before making property decisions.

8. Agent and Agency Accounts

Agents and agencies using the Platform must:

Hold valid licences as required by the relevant Australian state or territory
Provide accurate business and contact information
Ensure all listing information is accurate and compliant with applicable laws (including the Australian Consumer Law)
Respond to enquiries in a timely manner
Comply with all applicable real estate regulations and codes of conduct
Not engage in misleading or deceptive conduct in relation to listings or pricing

Estate Guide Online reserves the right to remove listings, suspend agent profiles, or terminate agency accounts that do not comply with these requirements.

9. Fees and Payments

Certain features of the Platform may require payment. Fees, payment terms, and billing arrangements will be set out in separate agreements with agents and agencies. We reserve the right to change our fee structure with reasonable notice.

10. Intellectual Property

The Platform, including its design, code, logos, trademarks, and original content, is owned by Estatly Pty Ltd and protected by Australian and international intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

11. Third-Party Services

The Platform may contain links to or integrate with third-party services (such as mapping providers, analytics tools, and CRM systems). We are not responsible for the content, privacy practices, or availability of third-party services.

12. Limitation of Liability

To the maximum extent permitted by law (including the Australian Consumer Law):

The Platform is provided "as is" and "as available" without warranties of any kind
We do not guarantee uninterrupted or error-free access to the Platform
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
Our total liability for any claim arising from these Terms or your use of the Platform is limited to the amount you paid us (if any) in the 12 months preceding the claim

Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law that cannot be excluded or limited by law.

13. Indemnification

You agree to indemnify and hold harmless Estate Guide Online, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately.

15. Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales. Before commencing legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via the Platform or by email. Continued use of the Platform after changes constitutes acceptance.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
